In a letter to staff, McCarthy said the company needed to implement layoffs because it wouldn't be able to generate sustainable free cash flow with its current cost structure. "Achieving positive [free cash flow] makes Peloton a more attractive borrower, which is important as the company turns its attention to the necessary task of successfully refinancing its debt," McCarthy said in the memo. McCarthy had also expected Peloton to reach positive free cash flow by June — a goal the company said it reached early during its third quarter. In a letter to shareholders, Peloton said it generated $8.6 million in free cash flow but it's unclear how sustainable that number is. The company didn't provide specific guidance on what investors can expect with free cash flow in the quarters ahead but said it does expect to "deliver modest positive free cash flow" in its current quarter.

David A. Grogan | CNBCParamount Global CEO Bob Bakish is stepping down, the company announced Monday, as merger negotiations with Skydance Media continue. Bakish climbed the corporate ladder after joining Viacom in 1997, until he became CEO of the company in 2016. Following the merger of Viacom and CBS, he became CEO of the combined company in 2019, which was later renamed as Paramount Global. Paramount will now be led by CBS president and CEO George Cheeks; Chris McCarthy, president and CEO of Showtime/MTV Entertainment Studios and Paramount Media Networks; and Brian Robbins, the head of Paramount Pictures and Nickelodeon. Paramount said it added 3.7 million Paramount+ subscribers during the quarter, bringing the total to 71 million.

The decision to remove Bakish as CEO comes as Paramount Global closes in on a merger agreement with Skydance Media. A number of large common shareholders, including Gamco Investors, Ariel Investments, Matrix and Aspen Sky Trust have publicly criticized the deal, arguing it destroys value for common shareholders. Paramount Global shares jumped about 5% in premarket trading Monday. Typically, Paramount Global shareholders, such as Gabelli, would compare an offer to the standalone company's prospects — hence his comments about not seeing a sale at all. But by removing Bakish, Redstone and the Paramount Global board are now throwing the status quo into chaos.

Paramount Global and Skydance Media are making progress on a deal that would merge the media companies and buy out controlling shareholder Shari Redstone. The entertainment company will be valued at around $5 billion and merged with Paramount Global, said the people, who asked not to be named because the discussions are private. Three of the people said that Paramount Global was slow to open a data room to the Skydance consortium, which has slightly pushed back the timeline on a deal. Skydance plans to name Ellison as CEO of Paramount Global and former NBCUniversal CEO Jeff Shell as the president, said two of the people. Spokespeople for Apollo, the Paramount Global special committee, Paramount Global, and Skydance's consortium declined to comment.

New York CNN —Longtime broadcast journalist Robert MacNeil, who covered some of the biggest headlines of the 20th century and co-anchored PBS nightly news for two decades, died on Friday, PBS announced. MacNeil “was an incredibly erudite reporter, anchor and writer who raised the bar for serious journalism in America,” Sharon Percy Rockefeller, president of NewsHour Productions, said Friday in a news release. Arriving at PBS in the early 1970’s, MacNeil began a decades-long partnership with fellow journalist Jim Lehrer, according to PBS The two led PBS coverage of the Senate’s Watergate Hearings in 1973. In 1975, the pair co-founded the MacNeil/Lehrer Report, a show that would later become PBS NewsHour. MacNeil sat at the helm alongside Lehrer before leaving in 1995, according to PBS.

A group of roughly 600 software testers at Activision on Friday formed the U.S. video game industry's largest union so far. The union is the first to organize under a new labor agreement negotiated as part of Microsoft's $69 billion acquisition of Activision in October, the company's largest takeover yet. Activision Quality Assurance United-CWA, the name of the union, is seeking higher wages and more career opportunities, QA tester Kara Fannon said in a statement. Before the Microsoft-Activision deal closed, QA workers at the video game-maker's Albany branch had also formed a union. "QA is currently an undervalued discipline in the games and software industries," the Albany wrote on social media at the time.

Microsoft offered to sell its Bing search engine to Apple in 2018, Google said in a court filing earlier this month. In the fourth quarter, Microsoft generated $3.2 billion from search and news advertising, while Google search and other revenue totaled $48 billion. Google said in its filing that when Microsoft reached out to Apple in 2018, emphasizing gains in Bing's quality, Microsoft offered to either sell Bing to Apple or establish a Bing-related joint venture with the company. Google said Apple CEO Tim Cook sent an email to Apple executives about the assessment of Bing, but his remarks are redacted in the filing. Cue testified that "if Apple did not receive the massive payments it sought from Google, Apple would have developed its own search engine," the Justice Department asserted in its filing.

Idaho’s abortion laws meant they had to seek care across state lines after receiving devastating news about a much-wanted pregnancy. “As soon as that ultrasound technician put that wand on my stomach and I saw the baby on the screen, I knew something was wrong,” Jen told CNN. “I was sent home to grieve and mourn and call around to see if we could get an appointment out of state,” Jen said. The move, he said, was for personal reasons: “Boise is a wonderful place in general,” he told CNN via email.

Most school districts in Southern California, including Los Angeles Unified, the second-largest in the country, were planning to keep most classrooms open on Monday, officials said, even as the state battled heavy rain, flooding and mudslides. Many students depend on schools for basic nutrition, the Los Angeles superintendent, Alberto Carvalho, said at a news conference on Sunday, explaining why he had decided not to close most of the district. The impact of the wind and rain will also vary greatly by neighborhood, he said, meaning that many schools will not be as badly affected. On Monday morning, Los Angeles Unified said that winds were forecast to diminish in the morning, citing it as a reason to keep schools open. Los Angeles Unified has more than 400,000 students in more than 700 schools across the district.

NEW YORK (AP) — Norman Jewison, the acclaimed and versatile Canadian-born director whose Hollywood films ranged from Doris Day comedies and “Moonstruck” to social dramas such as the Oscar-winning "In the Heat of the Night," has died at age 97. Throughout his long career, Jewison combined light entertainment with topical films that appealed to him on a deeply personal level. (Jewison lost out for best director to Mike Nichols of "The Graduate"). Among those who encouraged Jewison while making “In the Heat of the Night”: Robert F.
